Decisions at Extraordinary General Meeting of Mekonomen AB

At the Extraordinary General Meeting of Mekonomen AB on 17 August 2006, the following decisions were approved. Reclassification of all of the company’s Series A shares to Series B shares The General Meeting decided that all of the company’s Series A shares shall be reclassified to Series B shares. The decision is conditional upon Axel Johnson AB taking possession of 29 per cent of the shares in the company according to the share transfer agreements signed between Ingmar Fraim and Axel Johnson AB as well as ALLA Möller Holding AB, Leif Möller, Annica Möller and Ann-Charlotte Nilsson and Axel Johnson AB on 13 July 2006 not later than 30 November 2006. New Board of Directors The General Meeting decided that the Board, until the end of the next Annual General Meeting, shall consist of seven members with no deputy members. The General Meeting also decided to dismiss the Chairman and Board member Christer Zetterberg, the Board members Andreas Falkenmark, Ingemar Fraim and Leif Möller as well as the deputy members Ing-Marie Fraim Sefastsson and Annica Möller. For the period until the end of the next Annual General Meeting, Mats Jansson was elected as new Chairman of the Board, Marcus Storch as Vice Chairman of the Board and Antonia Ax:son Johnson, Anders G Carlberg, Fredrik Persson and Wolf Huber as new Board members. Helena Skåntorp remains as member of the Board for the period until the end of the next Annual General Meeting in accordance with a decision by the Annual General Meeting on 10 May 2006. The decisions regarding the changes to the Board are conditional upon that, and shall be effective as of the time when, Axel Johnson AB takes possession of 29 per cent of the shares in the company according to the share transfer agreements signed between Ingmar Fraim and Axel Johnson AB as well as ALLA Möller Holding AB, Leif Möller, Annica Möller and Ann-Charlotte Nilsson and Axel Johnson AB on 13 July 2006 not later than 30 November 2006.
